Terms of Service — OreQuant

These Terms of Service ("Terms") govern your use of the OreQuant platform ("Service") operated by FlashpointHQ ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Service Description

OreQuant is a gold and silver mining analytics platform that provides:

Systematic rankings and research coverage across publicly listed mining companies
Quantitative analytics, scoring, and monitoring tools for the gold and silver mining sector
Company research tools, alerts, and proprietary internal models presented through the platform
Risk and portfolio-oriented tools made available to subscribers based on plan access

2. Account Responsibilities

When you create an account, you agree to:

Provide accurate and complete registration information
Maintain the security of your password and account credentials
Notify us immediately of any unauthorized access to your account
Accept responsibility for all activity that occurs under your account
Not share your account credentials with others or allow multiple people to use a single account
Not attempt to scrape, crawl, or programmatically extract data from the platform
Not reverse-engineer our scoring algorithms or signal methodology

3. Subscription and Billing

Free Trial: New accounts receive a 7-day free trial with access to all features. A valid payment method is required to start a trial.

Paid Subscriptions: After the trial period, continued access requires a paid subscription. Subscriptions are billed on a recurring annual basis through Stripe.

Billing: By subscribing, you authorize us to charge your payment method on a recurring basis. You will be notified before any price changes take effect.

Cancellation: You may cancel your subscription at any time from the Billing page. Upon cancellation, you retain access until the end of your current billing period. No prorated refunds are provided for partial billing periods.

Refunds: All subscription payments are final and non-refundable. Because access to OreQuant begins immediately upon subscription or trial conversion, we do not provide full or partial refunds for unused time, early cancellation, or changes in usage.

4. Intellectual Property

All content, features, and functionality of OreQuant - including but not limited to scoring frameworks, signal methodology, internal models, user interface design, graphics, and documentation - are owned by FlashpointHQ and are protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any portion of the Service without our express written permission.

Information displayed on the platform may include publicly available information, internally processed research outputs, and licensed third-party data, each subject to applicable rights and restrictions.

5. Investment Disclaimer

OreQuant is NOT investment advice.

All data, analytics, scores, signals, rankings, and other content provided through the Service are for informational and educational purposes only. Nothing on this platform constitutes a recommendation, solicitation, or offer to buy or sell any securities or financial instruments.

Past performance does not guarantee future results.
Scores, rankings, and signals are analytical tools, not buy/sell recommendations.
Mining investments carry significant risks including commodity price volatility, operational risks, regulatory changes, and geopolitical factors.
You should always conduct your own research and consult with a qualified financial advisor before making investment decisions.
We are not registered as a securities broker-dealer, investment advisor, or in any similar capacity with any regulatory authority.

6. Data Accuracy Disclaimer

While we use best efforts to ensure the accuracy and completeness of the information on OreQuant, we make no guarantees regarding:

The accuracy, completeness, or timeliness of information, market data, financial statements, or corporate disclosures
The availability or timeliness of any data feed or research update
The completeness of coverage for all listed mining companies
The accuracy of derived metrics, scores, or analytics

Data and analytics on the platform may include delays, omissions, interpretation risk, or inaccuracies. We are not liable for decisions made based on information provided through the Service.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
We disclaim all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall FlashpointHQ, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or investment losses, arising out of your use of or inability to use the Service.
Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in subscription fees during the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless FlashpointHQ and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users, or is otherwise inappropriate. Grounds for termination include but are not limited to:

Violation of these Terms of Service
Automated scraping or data extraction
Account sharing or credential distribution
Abusive behavior toward staff or other users
Fraudulent payment activity

Upon termination, your right to access the Service ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Canada.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify registered users by email and update the "Last updated" date at the top of this page. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
